1. ACCEPTANCE OF TERMS

BY SIGNING UP FOR THE CITADEL CYBER GUARDIAN (“The Citadel,” “we,” “us,” “our”) AFFILIATE PROGRAM (the “Program”), YOU (“Affiliate,” “you,” “your”) AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“Agreement”). YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL CLAUSES OF THIS AGREEMENT AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN.

This Agreement is a legally binding contract between you (either an individual or legal entity) and The Citadel Cyber Guardian. By clicking “I Accept,” “Sign Up,” or by participating in the Program, you indicate your acceptance of this Agreement and represent that you have the legal authority to enter into this binding agreement.

The Citadel Cyber Guardian reserves the right to approve or reject any affiliate application at our sole and absolute discretion. Neither The Citadel nor its authorized representatives shall hold any liability to you in the event that your application is rejected.


2. ELIGIBILITY REQUIREMENTS

To participate in the Program, you must meet the following eligibility criteria:

2.1 Age and Authority: You must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are representing a company or organization, you certify that you are authorized to bind that entity to this Agreement.

2.2 Account Registration: You must complete the affiliate registration process through our RewardFull platform, providing accurate and complete information including your legal name, valid email address, payment information, and any other required details.

2.3 Compliance Standards: Your website, social media accounts, content, and promotional methods must not contain or promote:

  • Illegal activities or content
  • Adult/sexually explicit material
  • Hate speech, discrimination, or harassment
  • Violence or graphic content
  • Spam, malware, or deceptive practices
  • Content that violates intellectual property rights
  • Misleading or false claims about our products or services
  • Activities that compete directly with The Citadel Cyber Guardian

2.4 Restricted Markets: Affiliates may not use deceptive, unethical, or fraudulent methods to generate referrals, including but not limited to click fraud, cookie stuffing, or self-referrals.


3. AFFILIATE OBLIGATIONS

3.1 Promotion and Marketing

As an Affiliate, you agree to:

  • Actively promote The Citadel Cyber Guardian mobile app and services using your unique referral link provided through RewardFull
  • Represent our brand honestly, accurately, and professionally
  • Use only approved marketing materials, logos, and promotional content provided by The Citadel
  • Direct potential customers to our official website or app download pages using your unique affiliate link

3.2 FTC Compliance and Disclosure Requirements

You must comply with all Federal Trade Commission (FTC) regulations and disclosure requirements, including but not limited to:

  • Clear and Conspicuous Disclosure: You must clearly disclose your affiliate relationship with The Citadel Cyber Guardian in any content, post, video, email, or communication where you promote our products. Disclosures must be placed where consumers can easily see them, not buried in fine print or hidden behind links.
  • Acceptable Disclosure Language: Use clear, unambiguous language such as:
  • “I earn a commission if you purchase through this link”
  • “Affiliate link – I may earn a commission at no extra cost to you”
  • “#ad” or “#sponsored” (for social media, placed at the beginning of the post, not buried in hashtags)
  • “This post contains affiliate links”
  • Insufficient Disclosures: Simply using terms like “affiliate link” without explanation, or placing disclosures in locations users must click to see, does NOT satisfy FTC requirements.
  • Platform-Specific Requirements:
  • Instagram/TikTok/YouTube: Disclosures must appear in both the post caption (at the beginning) AND spoken aloud in video content
  • Blogs/Websites: Disclosures must appear above the fold and before affiliate links
  • Email Marketing: Disclosures must appear in the email body, not just subject lines

Failure to comply with FTC disclosure requirements may result in immediate termination from the Program and forfeiture of unpaid commissions.

3.3 Prohibited Marketing Practices

You may NOT engage in the following activities:

  • Paid Search Bidding: Bidding on The Citadel Cyber Guardian brand name, trademarked terms, or any variations/misspellings in Google Ads, Bing Ads, or other PPC platforms without express written permission
  • Email Spam: Sending unsolicited commercial emails or using purchased email lists
  • Misrepresentation: Making false, misleading, or unsubstantiated claims about our products, services, security features, or effectiveness
  • Trademark Misuse: Using our trademarks, logos, or brand assets in ways not explicitly authorized
  • Self-Referrals: Creating accounts, subscriptions, or purchases using your own affiliate link or links of affiliated entities for personal use or discount
  • Fraudulent Activity: Cookie stuffing, incentivized clicks, bot traffic, click fraud, or any automated means of generating referrals
  • Domain Squatting: Registering domain names containing our trademarks or confusingly similar variations
  • Competitive Keyword Hijacking: Using our competitor’s brand names in conjunction with our affiliate links
  • Coupon/Deal Sites: Posting unauthorized discount codes or promoting on coupon aggregation sites without prior written approval

3.4 Data Privacy and Security

As an affiliate promoting a cybersecurity product, you acknowledge additional responsibilities:

  • You must comply with all applicable data privacy laws including GDPR, CCPA, CPRA, and any state or international privacy regulations
  • You may not collect, store, or process personal information from referred users except as necessary for promotion and in compliance with applicable law
  • You must maintain appropriate security measures for any user data you handle
  • You must have a Privacy Policy on your website/platform that discloses data collection practices

4. COMMISSION STRUCTURE AND PAYMENTS

4.1 Commission Rates

Affiliates earn commissions on qualifying purchases as follows:

  • Free Trial to Paid Conversion: 30% of the first month’s subscription fee
  • Direct Paid Subscription: 30% of the first month’s subscription fee
  • Annual Subscriptions: 30% of the annual subscription fee
  • Recurring Commissions: 30% for the first 1yr only.

4.2 Cookie Duration

Our affiliate tracking cookies remain active for 60 days from the initial click on your affiliate link. If a referred user completes a qualifying purchase within this window, you will receive credit for the sale.

4.3 Qualifying Purchases

A purchase qualifies for commission when:

  • The customer completes the purchase using your unique affiliate link
  • The purchase is made within the cookie duration period
  • The customer is a new user (not an existing subscriber)
  • Payment is successfully processed and received
  • The purchase is not refunded, charged back, or cancelled during the [INSERT DAYS]-day validation period

4.4 Non-Qualifying Transactions

You will NOT receive commissions for:

  • Your own purchases or subscriptions
  • Purchases by your immediate family members or employees
  • Refunded, cancelled, or charged-back transactions
  • Fraudulent or suspicious transactions
  • Free trials that do not convert to paid subscriptions (unless otherwise specified)
  • Purchases made by existing customers (unless explicitly stated in a special promotion)

4.5 Payment Terms

  • Payment Schedule: Commissions are paid monthly, approximately [INSERT DAY] days after the end of each calendar month
  • Minimum Payout Threshold: You must accumulate at least $50.00 USD in commissions before a payout will be issued
  • Payment Method: Payments are processed via PayPal or direct bank transfer (as selected in your affiliate dashboard). You are responsible for providing accurate payment information and updating it as necessary
  • Currency: All payments are made in United States Dollars (USD)
  • Taxes: You are solely responsible for all taxes, fees, and reporting obligations related to commission payments. We do not withhold taxes unless required by law
  • Failed Payments: If payment fails due to incorrect payment information, the commission will remain in your account until corrected information is provided

4.6 Inactive Account Policy

If your affiliate account remains inactive (no qualified referrals) for 6 consecutive months and your commission balance is below the $50 minimum payout threshold, your account may be subject to closure and forfeiture of unpaid commissions.


5. INTELLECTUAL PROPERTY AND TRADEMARK USE

5.1 Limited License

The Citadel Cyber Guardian grants you a non-exclusive, non-transferable, revocable license to use our logos, trademarks, product images, and approved marketing materials solely for the purpose of promoting our products as an authorized affiliate.

5.2 Trademark Guidelines

  • You may only use our trademarks and logos as provided in our official brand guidelines
  • You may not alter, modify, or create derivative works from our trademarks or logos
  • You may not use our trademarks in a manner that implies endorsement, partnership, or employment relationship beyond the affiliate arrangement
  • You may not register domain names, social media handles, or business names containing our trademarks

5.3 Content Ownership

All content, marketing materials, product information, and intellectual property provided by The Citadel Cyber Guardian remain our exclusive property. Upon termination of this Agreement, you must immediately cease all use of our trademarks, logos, and marketing materials.


6. TERM AND TERMINATION

6.1 Term

This Agreement becomes effective when you are accepted into the Program and remains in effect until terminated by either party.

6.2 Termination by Affiliate

You may terminate your participation in the Program at any time by:

  • Providing written notice via email to [INSERT AFFILIATE SUPPORT EMAIL]
  • Deleting your account through the RewardFull affiliate dashboard

6.3 Termination by The Citadel

We reserve the right to terminate your participation immediately, with or without cause, including but not limited to:

  • Violation of any term of this Agreement
  • Fraudulent activity or suspicious referral patterns
  • Non-compliance with FTC disclosure requirements
  • Engaging in prohibited marketing practices
  • Damage to our brand reputation
  • Providing false or misleading information during registration
  • Failure to maintain eligibility requirements

6.4 Effect of Termination

Upon termination:

  • Your affiliate link will be deactivated immediately
  • You forfeit the right to earn future commissions
  • Commissions earned before the termination date and above the $50 minimum threshold will be paid according to our standard payment schedule
  • Commissions below the $50 minimum threshold will be forfeited
  • You must immediately cease using our trademarks, logos, and marketing materials
  • You must remove all affiliate links from your websites, social media, and marketing channels within 7 days

7. MODIFICATION OF TERMS

The Citadel Cyber Guardian reserves the right to modify, update, or replace this Agreement at any time. Material changes will be communicated via email to the address associated with your affiliate account.

Your continued participation in the Program after notification of changes constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must terminate your participation in the Program.

We may also modify commission rates, payment terms, or Program features with 30 days’ advance notice.


8. REPRESENTATIONS AND WARRANTIES

8.1 Your Representations

By participating in the Program, you represent and warrant that:

  • You have the legal authority to enter into this Agreement
  • All information provided during registration is accurate and complete
  • You will comply with all applicable laws, regulations, and industry guidelines
  • Your promotional methods and content comply with FTC regulations
  • You have all necessary rights and permissions for content you create
  • You will not engage in any fraudulent, deceptive, or unethical practices

8.2 Disclaimer of Warranties

THE PROGRAM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee:

  • Specific commission earnings or income levels
  • Uninterrupted access to the affiliate portal
  • That tracking will be 100% accurate in all circumstances
  • That your promotional efforts will result in conversions

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CITADEL CYBER GUARDIAN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your participation in the Program
  • Technical errors, tracking failures, or payment processing issues
  • Actions or omissions of third-party service providers (including RewardFull)

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.


10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless The Citadel Cyber Guardian, its officers, directors, employees, affiliates, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your breach of this Agreement
  • Your violation of any law or regulation
  • Your promotional content or marketing activities
  • Infringement of intellectual property rights
  • False or misleading claims about our products
  • Failure to comply with FTC disclosure requirements
  • Any negligent or wrongful conduct related to the Program

11. CONFIDENTIALITY

As an affiliate, you may have access to confidential information about our business, products, commission structures, or strategies. You agree to:

  • Keep all confidential information strictly confidential
  • Not disclose confidential information to third parties without written consent
  • Use confidential information solely for the purpose of participating in the Program
  • Return or destroy confidential information upon termination

12. INDEPENDENT CONTRACTOR RELATIONSHIP

You are an independent contractor, not an employee, agent, partner, or joint venture of The Citadel Cyber Guardian. You have no authority to bind us to any contract or create any obligation on our behalf.

This Agreement does not create an employment relationship, and you are not entitled to employee benefits, insurance, or tax withholdings.


13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from this Agreement shall be resolved through:

  1. Good-faith negotiation between the parties
  2. If unresolved, binding arbitration in [INSERT LOCATION] under the rules of the American Arbitration Association
  3. Each party shall bear its own costs and attorneys’ fees

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.


14. GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement, together with any supplemental policies or guidelines referenced herein, constitutes the entire agreement between you and The Citadel Cyber Guardian regarding the Program and supersedes all prior agreements or understandings.

14.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement at any time without notice.

14.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, or technical failures.

14.6 Electronic Execution

This Agreement is an electronic contract that sets out the legally binding terms of your participation in The Citadel Cyber Guardian Affiliate Program. Your acceptance of this Agreement by clicking “I Accept” or participating in the Program creates an electronic signature and binds you under a legal agreement.

16. ACKNOWLEDGMENT

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE PROGRAMS THAT ARE SIMILAR TO OR COMPETE WITH YOUR PROMOTIONAL ACTIVITIES. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
